Welcome to QuillBot! You are seeing these terms of service (“QuillBot Terms of Service” or “QuillBot Service Terms”) because you (“you” or “your”) are using a website, mobile application, extension, widget, application programming interface (API), or other products and services (collectively, the “QuillBot Service”) provided by QuillBot, a Learneo, Inc. business, which is located at 303 East Wacker, Suite 2101, Chicago, Illinois 60601 (“QuillBot,” “we,” “us,” and “our”).

1. ACCEPTANCE OF TERMS
   
   The QuillBot Terms of Service form a binding contract between you and QuillBot, and they supplement and amend the Learneo Terms of Service, which are incorporated into the QuillBot Terms of Service by reference. It is important for you to read the QuillBot Terms of Service and the Learneo Terms of Service because, together, they govern your use of the QuillBot Service.
   
   Any capitalized terms used but not defined in the QuillBot Terms of Service have the meaning given in the Learneo Terms of Service. The QuillBot Terms of Service and the Learneo Terms of Service may be referred to together as these “Terms.”
   
   By accessing or using the QuillBot Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the QuillBot Service.
   
   
2. CREATING A USER ACCOUNT
   
   To access certain features of the QuillBot Service, you may need to create a User Account. You must safeguard the confidentiality of your account credentials, and you will be responsible for all activity that occurs under your User Account, including unauthorized activity. If you become aware of unauthorized access or suspicious activity related to your User Account, please contact us immediately.
   
   
3. USING THE QUILLBOT SERVICE AND RESTRICTIONS
   
   When using the QuillBot Service, you must comply with these Terms and all applicable laws, and you may only use the QuillBot Service for your own non-commercial, personal purposes. You must also follow any other applicable guidelines or supplemental terms we provide to you, which may include additional rules for your User Content and what we consider to be acceptable behavior when using the QuillBot Service, as well as how we enforce them.
   
   When using the QuillBot Service, you must not do, attempt to do, encourage, or assist others in doing any of the following:
   
   1. Rent, lease, sell, distribute, offer in a service bureau, sublicense, or otherwise make available the QuillBot Service to any third party, except as permitted under these Terms;
   2. Access or use the QuillBot Service for purposes of performance benchmarking;
   3. Access or use the QuillBot Service for purposes of building or marketing a competitive product or service;
   4. Use or retain any content on the QuillBot Service for the purpose of creating, training, or improving (directly or indirectly) a translation service, product, or platform, or an artificial intelligence detector, or any comparable technologies, including any other machine learning algorithms, machine translation, or paraphrasing system;
   5. Display or make available, publicly, more than 300,000 characters of Output (defined below) from the QuillBot Service or Input (defined below) to and Output from the QuillBot Service in proximate comparative fashion (e.g., side-by-side);
   6. Use the QuillBot Service to collect, store, or distribute any information about any other person;
   7. Use the QuilBot Service in violation of the policies and rules of your employer or educational institution;
   8. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying models, structure, ideas, or algorithms of the QuillBot Service, except when these restrictions are prohibited by applicable law;
   9. Modify, adapt, translate, or create any derivative works of the QuillBot Service or merge the QuillBot Service into any other software
   10. Except when accessing the QuillBot Service through a QuillBot approved API or when we explicitly permit it, use any technique or method to extract data from the QuillBot Service; or
   11. Unless otherwise agreed by the parties in writing, use the QuillBot Service to augment datasets to improve natural language processing systems.
       
       
       
4. YOUR USER CONTENT
   
   The QuillBot Service generally allows you to submit textual content ("Input") and receive rephrased textual content ("Output"). Input and Output are part of “User Content” as defined in Section IV of the Learneo Terms of Service.
   
   The Output you receive may resemble the Output produced for other users of the QuillBot Service. Nothing in these Terms should be construed as giving you ownership of the Output generated for other users. Please note that we cannot guarantee that the Output will be entirely accurate or error-free. You are fully responsible for the use of the Output, which includes the responsibility of assuring its accuracy and suitability for your intended use.
   
   
5. QUILLBOT’S PAID SERVICE
   
   There are no fees for the use of many aspects of the QuillBot Service. However, certain services, features, and products may be available only as a Paid Service. If you elect to subscribe to a Paid Service, you must create a User Account (or log in if you already have one) and provide the relevant payment by one of our accepted payment methods (“Payment Method”). You can cancel the order process at any time or change the information provided in the various fields right up until the point at which you subscribe to the Paid Service by clicking on the “check out” (or other words of similar import) button at checkout.
   
   When you click the “check out” (or other words of similar import) button at checkout and subscribe to the Paid Service, you will be making a binding offer to enter into an agreement. The agreement is concluded when QuillBot receives your payment and provides you the confirmation notice. QuillBot will provide the QuillBot Service immediately after the conclusion of the agreement.
   
   If you decide to subscribe to a Paid Service, you agree to pay the prices shown to you for the Paid Service you have selected (the "Fees"), and you authorize us to charge the Payment Method you have provided. If you purchase an automatically renewing subscription and do not cancel it as specified below, your subscription will renew automatically, and you authorize us to charge your Payment Method for the Fees on a recurring interval that was disclosed to you prior to your purchase.
   
   From time to time, we may make changes to the Fees. If we increase the Fees associated with any Paid Service, we will provide you with an opportunity to review and accept the additional Fees before you are charged.
   
   You may be able to cancel or pause your subscription to a Paid Service at any time through your User Account’s account settings page. Unless otherwise communicated to you, your subscription benefits will continue if you cancel your subscription until the end of your then-current subscription term, but your subscription will not renew after that term expires. Please see here for additional information and guidance on how to cancel or pause a subscription.
   
   All Fees are nonrefundable, and there will be no refunds or credits (including for partially used subscription terms), except (i) as otherwise provided in writing herein or at the time of your initial purchase of the Paid Service, (ii) at QuillBot’s sole and absolute discretion (exercised reasonably), or (iii) as required by applicable law. These Terms do not override any mandatory local laws regarding your cancellation or refund rights.
   
   If you purchase a subscription to a Paid Service through a third party, your use of the QuillBot Service may be subject to separate terms and conditions from that third party, in addition to these Terms. Please contact the third party about refunds or how to manage your subscription.
   
   
6. THIRD PARTY SERVICES
   
   Third Party Services may be linked or connected to the QuillBot Service. We are not responsible for the Third Party Services provided by third parties. It is recommended that you review the privacy policies and terms of use agreements that are applicable to the Third Party Services, which include the following:
   
   • YouTube API; YouTube Terms of Service.
     
     
     
7. TERM AND TERMINATION
   
   These Terms remain in effect from the moment you access or use the QuillBot Service until terminated. These Terms will terminate automatically without notice if you breach these Terms or any documentation, guidelines, or policies we may make available to you. We reserve the right, in our sole discretion and without prior notice to you, at any time and for any reason, to: (i) remove or disable access to all or any portion of the QuillBot Service; (ii) suspend your access to or use of all or any portion of the QuillBot Service; and (iii) terminate these Terms.
   
   Notwithstanding the previous paragraph, to the extent you are a consumer pursuant to Article 3 of the Spanish Consumer Protection Law, the following shall apply:
   
   • If you seriously breach these Terms, QuillBot may unilaterally terminate them, notifying you via email of the time at which termination occurs and the rationale behind it. If QuillBot elects to terminate these Terms for any other reason, it will notify you of the termination and give at least ten (10) days' notice.
     
     Any part of these Terms that by their nature should survive after termination of these Terms will survive.
     
     
8. TAKE-DOWN REQUESTS
   
   We expressly prohibit you from uploading, posting, or otherwise distributing through the QuillBot Service any User Content which may violate applicable laws, another party’s intellectual property rights, privacy, publicity, or other rights. You agree to comply with our Copyright Policy, incorporated by reference herein.
   
   If any party believes any User Content on the QuillBot Service violates or otherwise infringes upon any of their rights, they are encouraged to contact us immediately to request that the allegedly offending content (“Offending Content”) be removed from the QuillBot Service. Please read our Copyright Policy for how to make a takedown request.
   
   It should be noted that individuals making misrepresentations in alleging that material appearing on the QuillBot Service constitutes copyright infringement may be liable for damages.
   
   
9. ADDITIONAL TERMS AND POLICIES APPLICABLE TO ALL USERS
   
   
   1. Privacy Policy You acknowledge that your use of the QuillBot Service is subject to our Privacy Policy.
      
   2. Learneo Terms of Service. The Learneo Terms of Service is incorporated herein by reference and apply to your use of the QuillBot Service. In the event there is a conflict between the QuillBot Terms of Service and the Learneo Terms of Service, the QuillBot Terms of Service will control with respect to the QuillBot Service only.
      
   3. Team Plan Terms. If you purchase a QuillBot team plan (“Team Plan”) or use the QuillBot Service under a Team Plan, additional Team Plan terms (“Team Plan Terms”) apply to you, which are attached to these Terms as “Annexure 1 – Team Plan Terms”. To the extent that (i) the terms of the Team Plan Terms apply and (ii) such terms conflict with these Terms, the terms of the Team Plan Terms will control.

11. MISCELLANEOUS
    
    These Terms cover the entire agreement between you and QuillBot for your use of our QuillBot Service.
    
    If you are a consumer within the meaning of the French Consumer Code, you may submit any claims against QuillBot on the online platform provided by the International Consumer Protection and Enforcement Network.
    
    We may amend these Terms or provide notices related to these Terms from time to time. Where required by applicable law, we will provide requisite notice of the amendments and/or ask for your consent to the amended terms.
    
    QuillBot reserves all rights not expressly granted herein. QuillBot’s rights and remedies are cumulative. No failure or delay by QuillBot in exercising any right will waive any further exercise of that right.
